1. Agreement
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Accounts
You may need an account to access certain features. You are responsible for safeguarding your credentials and for activity under your account. You must provide accurate information and keep it updated.
3. Subscriptions and fees
Paid plans, pricing, and billing are presented at checkout or on our website. Payments are processed by our third-party payment processor. Unless stated otherwise, fees are non-refundable except as required by law or as we expressly offer (for example, a stated money-back window).
We may change prices or plans with reasonable notice where required. Continued use after a change may constitute acceptance.
4. Acceptable use
You agree not to:
- Violate applicable law or third-party rights;
- Upload or process content you do not have the right to use, or that is illegal, harmful, or infringes intellectual property;
- Attempt to probe, scan, or test the vulnerability of the Service, or bypass security or access controls;
- Reverse engineer, decompile, or misuse the Service except where prohibited restrictions are unenforceable under law;
- Use the Service to build a competing product or to resell access without our written consent.
5. Content and third-party sources
You are responsible for the content you submit and for complying with the terms of any platform or rights holder when you provide URLs or media (for example, YouTube or Twitch). We do not claim ownership of your content; you grant us the rights reasonably necessary to operate the Service for you.
6. Intellectual property
The Service, including its software, branding, and documentation, is owned by ClipHawk or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service as offered, no rights are granted to you.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS (INCLUDING AI-GENERATED SUGGESTIONS) WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPHAWK AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LIMITATION IS PROHIBITED BY LAW.
9. Indemnity
You will defend and indemnify ClipHawk against claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
10. Suspension and termination
We may suspend or terminate access to the Service if you violate these Terms, create risk or legal exposure, or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.
11. Changes
We may modify these Terms by posting an updated version. If changes are material, we will provide notice as appropriate (for example, by email or in-product notice). Continued use after the effective date may constitute acceptance.
12. Governing law
These Terms are governed by the laws of the jurisdiction we designate, without regard to conflict-of-law rules, except where consumer protections require otherwise. Courts in that jurisdiction will have exclusive venue, subject to mandatory arbitration or forum rules where applicable.
